The common law and the UCC have very different rules for interpretation. The UCC contains numerous "gap filler" terms that will be implied into a contract if the contract lacks a term. Under the common law, however, judges imply terms on an ad-hoc basis and sometimes the lack of an agreement on a key term can prevent contract formation. Which system do you think is best and why?
