Thomas More University (TMU) is seeking new sponsors for the Connor Convocation Center before next year's basketball season. Chick-fil-A is willing to spend $100,000 for an exclusive sponsorship with TMU.An "exclusive sponsorship" means Chick-fil-A expects to be the only company at this level of sponsorship... i.e. the biggest name on the scoreboard, their logo painted onto the floor and only their food may be served at concessions. Definitions As used in this Agreement, the terms defined in the preamble have their assigned meanings, and each of the following terms has the meaning assigned to it in this section. 1.1 "Agreement" means this contract, as amended from time to time. 1.2 "Purchase Price" means $11,000.00 1.3 The "Car" means Seller's 20XX red Acura with VIN number 23456. Article 2. Representations and Warranties 2.1 Seller's Representations and Warranties The Seller represents and warrants to the Buyer as follows: (1) The Seller owns the car, and it is not subject to any liens, (2) The car is a 20XX red Acura; (3) The car's Vehicle Identification Number is 23456; (4) The car's odometer reading is 26,000 miles. (5) The car has been maintained in accordance with the owner's manual and is in good operating condition, with normal wear and tear excepted; (6) The car is still under the manufacturer's warranty and the warranty: (7) The manufacturer's warranty is attached to this Agreement as Exhibit A. 2.2 Buyer's Representations and Warranties The Buyer represents and warrants to the Seller as follows: (1) That he has received an employment offer as an associate from Hie Power & Stress LLP: (2) That Hie Power & Stress LLP has promised him a sign on bonus of $5,000.00. Article 3. Covenants 3.1 Covenants of the Seller The Seller {a) shall not paint the car between the time the agreement is signed and the closing: (b) Shall not cause the car to be driven more than 500 miles between the time the agreement is signed and the closing: (c) Must garage the car and continue to maintain it between the time the agreement is signed and the closing: (d) Shall provide the Buyer with documentation of the manufacturer's warranty. 3.2 Inspection of the vehicle. The Buyer has a right to choose a mechanic of her choice to inspect prior to the closing that the car is in the condition represented in this Agreement. The Buyer must hire the mechanic for the inspection to accompany Buyer to the place where the Seller reasonably keeps the vehicle. The Buyer will pay for the mechanic's inspection. The mechanic is to do a standard checklist of inspection on the vehicle and determine if the Car is in reasonably good condition based on industry standards. If the mechanic believes the Car is not in reasonably good condition based on industry standards, then buyer is free to walk away Article 4. Payment 4.1 Down Payment. The Buyer must pay to the Seller a down payment of 10 percent of the Purchase Price (totaling $1,100) by certified check at the time of the signing of this agreement. Buyer must pay to the Seller an additional 10 percent of the Purchase Price (an additionat $1,100) by certified check after completion of the mechanic's inspection, if the Car passes inspection. 4.2 Payment of Purchase price. The Buyer shali pay the Selfer the Purchase Price with a certified check at the time of the closing Article 5. Closing 5.1. Conditions to Closing. 5.1.(a) It is a condition to the Buyer's obligation to buy the car that the Seller must have complied with her covenants listed above and that the Seller's representations and warranties are true on the closing date, except to the extent that the agreement contemplated that specific facts might change 5.1 (b) If Buyer does not receive the promised $5,000.00 sign-on bonus from Hie Power & Stress LUP, Buyer may choose not to dose on this Agreement. If Buyer does not close, the Seller has a right to keep any down payments already owed pursuant to Section 4.1 of this Agreement. 5.2 Closing Date. The Closing Date shall be March 31, 2011, at the residence of Selier, 1234 Nunn Drn Highland Heights, KY 41011, at 11:00 AM. The Buyer will be free to take the car, the keys and any manuals immediately following the closing or within any reasonable time following the Closing Dat Article 6. General Provisions. 6.1 Governing Law. The laws of Kentucky will govern all matters relating to this Agreement, including torts 6.2 Assignment and Delegation. Neither party shall assigned its rights or delegate its performance under this Agreement without the other party's consent, except as otherwise provided for in this Agreement 6.3 Successors and Assigns. This Agreement binds the respective permitted successors, heirs, executors or other legal or personal representatives of the Buyer. 6.4 Merger.
