To: Chief Legal Officer From: Big Bad Boss Man Re: Recent Issues

Dear Chief Legal Officer,

As you know, our company BLAW HOLDINGS, has many subsidiaries and is involved in many different ventures across a wide array of business lines. We have had some issues come up with our subsidiary ITS ALL MINE, LLC, which is involved in copper mining and related products in the region.

One of our longtime supervisors has let us know that some of the new hires are not very respectful of her and her authority. She has filed her first complaint on one of the workers. Generally, the employees of ITS ALL MINE are about 90% male and can be a little rough. What are some risks that a work environment such as this can pose to the company? Also, what are actions that ITS ALL MINE can take to avoid potential issues and claims against the company?

Also, ITS ALL MINE has been working with IM WIRED UP INC., which creates high-tech cabling. ITS ALL MINE has negotiated a lease for IM WIRED UP and our president was a signer on its bank account. The president of ITS ALL MINE arranged for contractors, advertising and equipment purchases. When it came time for tax reporting, it was ITS ALL MINEs belief that there was a partnership between ITS ALL MINE and IM WIRED UP. IM WIRED UPs accountant is not preparing the tax return with both as partners, thus, ITS ALL MINE may lose some of its tax benefits. Is there a partnership? Why or why not? What can we do to resolve this?
