Trefoil Entertainment made a contract with country music singer Luke Combs to be the featured entertainer for a summer concert series. The contract between Trefoil and Combs prohibited any assignment of rights or delegation of duties without the written consent of both parties.

Shortly before the summer concert series was set to begin, Combs received another offer to headline a country music world tour that paid twice as much. Combs decided to assign his rights and delegate his duties for the summer concert series to Luke Bryan, another well-known country music star.

Trefoil Entertainment sued Combs for breach of contract. Combs defended on the ground that he validly assigned his rights to someone who had more bankable star power and was most likely going to make Trefoil Entertainment even more money on the summer concert series.
