Walter Reed, a world famous author, announced his intention to author Amazonean. Best Books, Inc. wrote to Walter promising publication and promotion of Amazonean at their expense, plus a $2.00 royalty per copy sold, if he wrote Amazonean for them. Dollar Publishers, Inc. telephoned Walter promising publication and promotion of Amazonean at their expense, plus a $1.00 royalty per copy sold, if he wrote Amazonean for them. Instead, Walter promised to author Amazonean for Dollar Publishers, Inc., if they agreed to publish and promote Amazonean at their expense, pay him $300,000 plus a $2.00 royalty per copy sold. Dollars Publishers, Inc. agreed.

Walter borrowed $300,000 from Bank One and in repayment, assigned to Bank One the $300,000 Dollar Publishers, Inc. owed him giving Dollar Publishers, Inc. notice of the assignment.

Walter wrote and delivered Amazonean to Dollar Publishers, Inc.on time, but although Dollar Publisher Inc. anticipated selling over a million copies, they refused to publish or promote Amazonean because it did not meet their tastes. Dollar Publisher, Inc. also refused to pay Bank One. So Bank One sued Dollar Publisher, Inc. for $300,000.

Although a year later, Walter responded to Best Books, Inc.'s letter agreeing to all its terms. Best Books, Inc. wrote back agreeing, too.

Bookstores nationwide ordered two million advance copies of Amazonean from Best Books, Inc. Dollar Publisher, Inc. immediately filed suit against Walter and Best Books, Inc. for an injunction to prevent publishing of Amazonean. Walter counter sued.
