Wichita Bicycles, an American entity, and Chiaphua Components Group, a Chinese corporation, enter into a contract for Chiaphua to produce bicycle frames for Wichita. The bicycle frames are to be delivered in lots of ten every two weeks. The first two groups of frames are delivered without incident. In the third group, Wichita noted a number of irregularities in the frames and asked Chiaphua to replace them at no charge. Chiaphua refused. Rather than filing a lawsuit, Wichita and Chiaphua agree to a mediation. At mediation, Wichita agrees to pay, and Chiaphua agrees to accept, a reduced amount for the substandard frames. Three days later, Wichita notifies Chiaphua that it will no longer pay a reduced amount and insists that the frames be replaced.
