You cant legally appoint a company as a director however places like the UK allows for corporate directors if only you have one natural person as a director. Comparing with NZ, where it is quite strict the rule is the person is to be a natural person. In NZ, CA1993, there are two different provisions regarding this. One of the provision from CA1993, requires all directors to be natural persons and the other provision reinforces without formal appointment, a company can occupy the position of a director, reflecting a de facto director. In Gilles Bakery Ltd v Gillespie , court held that these two provisions had different policy aims.
