4 Millennium Dawn Limited ("MDL"), a listed Hong Kong company, had entered into the following transactions after its financial year ended 31 December 2017: (i) On 1 February 2018, MDL entered into an agreement with an independent third party namely Waterloo Row Limited ("WRL") to acquire 35% of the issued share capital of Surrey Limited ("SL") from WRL. MDL did not have any shares of SL prior to the transaction. Canary Wharf Limited holds 65% and 13% issued share capital of SL and MDL respectively. The consideration of the transaction was agreed at cash of HK$8,800,000,000. (ii) On 1 June 2018, MDL entered into an agreement Covent Garden Limited ("CGL") to acquire 60% of the issued share capital of Trafalgar Square Limited ("TSL") from CGL at a cash consideration of (i) HK$507,000,000, and (ii) issued and allotted by MDL to CGL 60,000,000 ordinary shares at the issue price of HK$3.6 credited as fully paid. Marylebone Limited owns 34% and 15% issued share capital of CGL and MDL respectively. The transaction was completed on 30 September 2018. (iii) On 31 August 2018, MDL acquired an office at Causeway, Hong Kong from an independent party at a cash consideration of HK$225,000,000. The value of the property as per the latest valuation report was HK$210,000,000. Appendix C attached contains the financial information of MDL, SL and TSL respectively.
