After the sale to the Shaky Structures group, John is made President of Perfect Planks. John was used to doing things his way in the company, but Perfect Planks did not have the ability to manufacture the planks. So John reached out to Moore Manufacturing, Inc., a company in Winston-Salem, North Carolina. John and Moore entered into requirements contract with a term of one year that commenced in February of 2020. The contract provided that Moore would provide all of the planks that John could sell. Moore would make monthly deliveries of 1,000,000 planks to John at a price of $5 per plank. Delivery was to occur on the first of each month. At the time of contract, Moore's cost for planks was $2. The market price for planks was $5. Moore delivered 80,000 planks in February but only 30,000 planks in March. John accepted and paid for the planks. On April 10, John contacted Moore regarding the shortages. Moore stated that its cost for planks had risen to $7, largely because of Covid shutdowns and employees getting sick. John and Moore signed an addendum changing the contract price to $8 per plank. After a dry spell, Moore delivered 150,000 planks on August 15. John accepted and paid for the planks. John then heard rumors that Moore was on the verge of bankruptcy. On August 20, John sent Moore a letter demanding Moore provide written assurances that it could perform. John stated that he would not accept any further deliveries without such assurances. Moore did not make the May delivery and did not respond to the demand for assurances. On October 25, John informed Moore he was canceling the contract. ESSAY QUESTION 2: John has come to you because of your knowledge of the Uniform Commercial Code (UCC) to ask what causes of action he may have against Moore, and what defenses he may have if Moore files a lawsuit against him
