Alice Bob and Chan were promoters of X bhd. The company was incorporated on the 1st of February 2020 and Alice, Bob and Chan later became directors. In December Alice made a contract to sell her car to X Bhd. X Bhd needed a car to use as a company car and Alice sold it at a price of RM 200 000. The market value of the car at that time was RM 250 000. This transaction was known to Ben and Chan who did not object to the sale. Bob in January need to hire some factory workers for X Bhd's production factory in Senai. He had hired the workers at a reasonable rate per hour. X Bhd was happy with this and decided to pay him a commission of RM 10 000. This was paid on the 2nd of February. Bob had disclosed this fact to the board. Finally, Chan made a contract to purchase some products from X Bhd. He knew he would get a discount as the company offered a 20% on all products purchased. Chan had also made a profit of RM50 000 on a contract X Bhd had made with Ju Partners. Chan was one of the partners of Ju Partners. Advise on the issues arising under the CA 2016.
