Drew did not disclose to Wade that Dexter had not been incorporated. Prior to the incorporation of Dexter on February 1, 2020, Wade rendered accounting services pursuant to the contract. After rendering accounting services for an additional period of six (6) months pursuant to the contract, Wade was discharged without cause by the board of directors of Dexter.
