Grace is a member and manager of a manager-managed limited liability company called Movers & You, LLC, a moving company. The main business of Movers & You, is moving large corporations from old office space to new office space in other buildings. After Grace has been a member-manager of the company for several years, she decides to join her friend Keegan and form another LLC, called Keegan & Me, LLC. This new LLC provides moving services that move large corporations form old office space to new office space. Grace becomes a member-manager of Keegan & Me, LLC, while retaining her member-manaer position with Movers & You, LLC. Grace does not disclose her new position at Keegan & Me, LLC, to the other members or managers of Movers & You, LLC. Several years later, the other members of Movers & You, LLC, discover Grace's other ownership and management position at Keegan & Me, LLC. Movers & You, LLC, sues Grace to recover damages for her working for Keegan & Me, LLC. Is Grace liable? Why or why not?
