To become a taxi driver, he needed buyboth a taxi vehicle and an operating license from a current taxidriver. The city was not awarding new operating licenses.

Hai found a driver named Hailey who was interested in sellingher taxi and operating license to him. After lots of negotiating,the parties agreed that Hai would buy Hailey’s specially adaptedtaxi vehicle and operating for license for $150,000. This wouldallow Hai to realize his dream of becoming a taxi driver.

After agreeing, Hailey changed her mind and told Hai she wouldnot sell- she wanted to continue to drive her taxi for a living.Hai tried for several months to find another taxi operating licenseholder who would sell to him, but there was no one.

Hai sued Hailey for breach of contract. What Hai really wantedto was not damages (money), but instead the taxi vehicle andlicense as agreed in the contract.
