In August 2020, the Board of the Company has identified Mr. Zhou Ping ("Mr. Zhou") and proposed him to be the Company Secretary of the Company.

The background information of Mr. Zhou is as follows:

i) Mr. Zhou has been a member of a reputable overseas professional body of accountants since May 2001. He holds a Master of Business Administration with Manchester Business School, UK.

ii) Before joining the Company, he was the chief financial officer of another listed issuer in Hong Kong from February 2005 to December 2019. In addition to financial management and reporting matters, he also participated in the preparation of the company's regulatory announcements and circulars.

iii) He had regularly attended training courses relating to corporate governance, finance and accounting, the Listing Rules and company law.

Discuss whether Mr. Zhou is capable of discharging the functions of the Company Secretary of Charlotte Holdings Ltd and the procedures that must be followed in relation to his appointment as the Company Secretary of the Company.
