In Chapter 5 we noted that when coupled with a poison pill, the combination can be a powerful antitakeover defense. However, staggered boards, or even poison pills, are not that relevant in activist battles where the activist is looking to accomplish its goals by replacing just a few members of the board. If this can be done, then majority control of the board, something that would normally be made difficult by the staggered board, may not prevent the activist from accomplishing its goals. Discuss
