In January 201?. Cooks Ltd (\"Cooks"), a resident of Australia. was the successful tenderer in a government tender to run a children's cooking school program throughout Australia. The tender was granted for a five-year period. Each school visited would meet the cost of the program and the quoted cost was $1500 per school- Cooks entered into ajoint venture with Aussie Biscuits Ltd (\"Biscuits") to deliver the program throughout schools in Australia. The joint venture agreement provided that: - Cooks and Biscuits both deliver the program to schools for the quoted cost; - Biscuits would pay Cooks a once only amount of $400 for each school visited to cover copyright fees for use of materials developed by Cooks. The materials are those that were approved in the tender; - Fees from schools received by the joint venturers be divided between the two joint venturers, without deduction, according to the number of schools visited; - Cooks and Biscuits would contribute to the revenue expenses associated with the administration and delivery of the program on the basis of number of schools visited; and
