Question 4 (Answer both parts A and B) [Total 25 marks] Rocky is the owner of an online shop called \"kids.com\" that specializes in wholesale children's clothes online. A client, Rubble Ltd, put in a large order and invited Rocky to enter into a joint venture. Rocky wanted to check their nancial position and creditworthiness and subsequently asked their bank, Hong Kong Banking Corporation (\"HKBC\"), for a reference on Rubble Ltd. A day later, Rocky watched a nancial programme on television that said Rubble Ltd is a rising star in the fashion industry and mentioned how the company plans to expand in the next few years. Rocky is skeptical about the programme and decided to wait for HKBC's reference. HKBC sent a letter to Rocky that said Rubble Ltd is \"considered good for its ordinary business engagements.\" The letter was sent 'ee of charge. Having seen the letter, Rocky decided to enter into the joint venture with Rubble Ltd. Three months later, Rubble Ltd went into liquidation and Rocky lost eight million Hong Kong dollars (HKD $8,000,000). a) Advise Rocky on the potential liability of HKBC under contract and/or tort law as relevant. b) Ifthe letter had been requested by a friend of Rocky's for a different purpose, and shown to Rocky by that friend, would your answer be di'erent? Why? Question 5 (Answer both parts A and B) [Total 25 marks] a) An agency relationship (that is, between agent and principal) can be created in four ways. Describe and explain each way in which this relationship can be created. b) Describe and explain the rights and duties that agents may have. -END Question 2 [Total 25 marks] Sarah was eating at a restaurant with her friend Tara. Tara paid the bill at the end of the meal. That evening, Sarah began to feel ill and she went to the hospital. At the hospital they diagnosed that Sarah had eaten improperly cooked seafood and she would need to stay in hospital for a few days and have her stomach pumped. This would cause Sarah to lose money as she would miss work, as well as the physical pain and discomfort. However, the next day the hospital took additional x-rays and noticed that Sarah had a serious medical condition that was untreatable and would kill her within two weeks. She died exactly 14 days later. Advise Sarah's family as to the possibility of liabilities attaching to a) the restaurant and b) the hospital. Question 3 [Total 25 marks] Mary has worked as a model for Star Intemational Ltd for 14 months in Hong Kong. She wants to leave for a new job at a rival agency, Moon Models Ltd, also in Hong Kong. However, when she went to hand in her notice to Star International Ltd, she was informed that her contract contained a non-compete clause that stated she was not allowed to work as a model in Hong Kong for one year after leaving Star International Ltd. The clause expressly mentioned Moon Models Ltd as an example of a modelling company that she would not be allowed to join. Mary comes to you for legal advice. She also informs you that her contract dictates that she must work on all statutory holidays without pay and that she is not entitled to sick pay. Advise Mary on whether the non-compete clause is valid, and any other issues with her employment contract
