On November 2, 2021, Garfield went to Dagwood and offered to sell to him, on Snoopy's behalf, the building that housed Snoopy's business for $500,000.00. Dagwood had often dealt with Garfield and knew him to have significant authority

from Snoopy. Pleased at the price, Dagwood agreed to buy and a written agreement was prepared and signed by Garfield. Snoopy did not advise Dagwood or anyone else about Garfield's firing. Anticipating the purchase, Dagwood spent $50,000.00 on design plans to renovate the building and contracted with a renovation company owned by Adam to do $200,000.00 worth of renovation work. He then contracted with Opus to buy the renovated building from him for $1,000,000.00.

When Snoopy became aware of the sale agreement he refused to sell. Dagwood sued.
