Rainbow Corporation orally contracted with Amelia, an independent consultant, for Amelia to work part-time as Rainbow's agent to complete Rainbow's customers' service calls. Amelia, a computer programmer and software designer, was authorized to customize Rainbow's software to the customers' needs, on a commission basis, but was specifically told not to sell Rainbow's computers. On September 15, Amelia made a service call to Green Earth to repair Green Earth's computer. Amelia previously had called on Green Earth, customized Rainbow's software for Green Earth, and collected cash payments for the work performed. During the call, Amelia convinced Green Earth to buy an upgraded Rainbow computer for a price much lower than Rainbow normally would charge. Green Earth previously had purchased computers from other Rainbow agents and had made substantial cash down payments to the agents. Green Earth had no knowledge that the price was lower than normal. Amelia received a $1,000 cash down payment and promised to deliver the computer the next week. Amelia never turned in the down payment and left town.
