Brief
Your friend Amari moved to the UK from the US a few years ago, together with a co-
owner Brian, they run a successful family big tour business in the hospitality industry
(called Legacy Tours Limited). Your friend, Amari is worried that the company has
been unable to run profitably since the coronavirus pandemic and current economic
climate. The company has two founders, your friend Amari owns 60% of the share
capital, the other founder, Brian kept 40% of the shares, and both are directors of the
family business. Relations between the shareholders began to go sour, Brian found it
impossible to get on with Amari, who blocked every move to invest in the company
before the pandemic. The family is worried about the growth of the company despite
emerging potentials for improvement. In July this year, Brian resigned his directorship
because of continuing family dispute, before he left, he registered a new company in
hospitality business, a number of Legacy Tours Limited customers have begun to
patronise Brian's new company.
Advise the board of Legacy Tours Limited on the legal steps to take to
challenge the director. The Board would like you to consider in particular the
UK law on:
The nature of directors' duties and liabilities if any; and
Relevant company procedures
