The failure of Crow$$s Nest to disclose that the yacht had earlier been sunk in

saltwater, causing significant rusting and deterioration in the engine, equipment

and fixtures, does not qualifies as a material misrepresentation of fact entitling

Barr to rescind the contract on the basis of fraud.
