The parties enter into a K. Defendant breaches the K terminating performance. Plaintiff sends Defendant an invoice under the K for $300,000. Plaintiff is in urgent need of cash to fend off bankruptcy and the Defendant is aware of Plaintiff's precarious financial situation. Defendant offers Plaintiff $100,000.
