Question:

A limited partnership was formed to promote a boxing match between professional football player Lyle Alzado and an ex-boxing heavyweight champion, Muhummad Ali. The limited partner in the deal was to be the firm of Blinder, Robinson and Co. with Alzado and others joined together in an organization known as Combat Associates to be the general partner. Alzado personally guaranteed that if the proceeds of the match were to be less than $250,000 he would make up the difference. In preparation for the match, Blinder, Robinson and Co.’s president participated in interviews and a promotional rally. In addition, the company allowed one of its offices tobe used as a ticket office and also held parties. When the proceeds came to less than $250,000, Blinder sued Alzado for the shortfall. Alzado counterclaimed contending that Blinder, Robinson and Co. had acted in such a way that it had become a general partner. How should the court rule on the general partner issue? Why? (Blinder, Robinson and Co. v.lzado, 713 P. 2d 1314)
