The case provides the added benefit of bringing together, in a few pages, nearly all of the concepts surrounding the business judgment rule: duties of care and loyalty, negligence, waste, and bad faith.

    • If you believe the decision was correct, what were the strongest parts of the court's reasoning?
    • If you believe the decision was incorrect, where did the court go wrong in its reasoning?
