For this assignment use the facts and linked materials to draft an enforceable contract. Read all the facts and all the directions carefully. Use and read all the linked resources. Most points are lost because students didn't read everything carefully.

Facts

Meta Lounge, LLC ("Meta") is a virtual reality bar and caf in Atlanta, Georgia where people immerse themselves in virtual worlds of their own creation. You are a junior sales representative at a virtual reality company called TotallyVR, Inc. ("TotallyVR").

Harry Simpson, managing member and owner of Meta, wants to buy 30 TotallyImmersed MAX virtual reality goggles. TotallyVR is located at 222 Volusia Avenue, Daytona Beach, FL 32118, (386)123-4567. The TotallyImmersed MAX virtual reality goggles sell for $2455.00 each which includes taxes and shipping. You negotiate the following terms with Harry, and he tells you to draft up the contract and send it over ASAP:

• 5% discount off total price for buying 30 TotallyImmersed MAX goggles
• Delivery on or before 12/31/2022
• Payment due within 30 days after date of delivery
• Delivery Address: 123 Main Street, Atlanta, GA 30329
• Refunds: Buyer has 7 days from date of delivery to request refunds for damaged and defective goggles only.
• Warranty: Seller warranties goggles for 12 months from date of delivery.

TotallyVR in-house counsel Sandy usually drafts the contracts but she is on vacation. You're proactive so you email Sandy asking if you can work on the contract so it's ready for her review when she gets back. Sandy emails you back:

"Absolutely. Use this template as you guide. Remember, it's a template - not a form. Edit and/or delete the language as needed. Make sure to add the following clauses which are not included in the template: Integration, Choice of Law (Florida), Severability, and Attorney Fees. Send me the draft and I'll finish it up when I get back."

While researching the clauses you find an article called, "Plain English in Contract Recitals and Boilerplate" by George H. Hathaway. It has simplified versions of the clauses you need. As Sandy often says, "Nobody likes legalese."

Finally, you know that the Sales Manager Derrick Young signs these contracts on behalf of TotallyVR and you find a good article on how to draft the signature lines.

Using the contract template and the article by Mr. Hathaway, write a contract that incorporates the essential terms of the deal.
